Your access or use of the Website indicates that you have read, accepted and agreed to these Terms. 

In addition, when using the Services, you will be subject to any posted guidelines or rules applicable to such Services which may be posted from time to time. We reserve the right to change these Terms at any time without prior notice, effective upon the posting of revised Terms to our Website and your continued use of the Website or the Services after such changes indicates your acceptance of the Terms as modified. 1. AGE RESTRICTION

Minors are not eligible to use the Website or Services. You must be at least the age of majority in the jurisdiction in which you reside. Your access or use of this Website indicates your representation that you are at least the age of majority. We assume no responsibility or liability for any misrepresentation of your age.

If you provide any information that is untrue, inaccurate, not current or complete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or complete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Website and Services (or any portion thereof) by you. Individuals under the age of majority cannot register on any portion of this Website. 

We may, in our sole discretion, suspend, restrict or terminate your Account and your use of this Website without notice to you, for any reason, including because the operation or efficiency of this Website or our or any third-party’s equipment or network is impaired by your use of this Website, any amount is past due from you to us or you have been or are in breach of any of the Terms. We have no responsibility to notify any third-party, including any third-party provider of the Services, of any suspension, restriction or termination of your Account or access to this Website. 

3. DESCRIPTION AND USE OF THE SERVICES 

Persons who have an Account may utilize the Services, which include Advanced Analytical Testing and Cannabis Compound Database (the “Services”). The provision of the Services is subject to these Terms, the Privacy Policy and other terms you accept when using the Services. 

We will make reasonable efforts to be as accurate as possible with all information regarding the Services, including product descriptions and images. However, we do not guarantee the accuracy or reliability of any product information. The use of the Services is at your own risk. 

4.  PAYMENT

When you make a purchase on, or make a payment through, this Website, your payment will be submitted for authorization. This may involve us obtaining a pre-approval from the issuer of your payment instrument for an amount as high as the full price. If you cancel a transaction before completion, this pre-approval may result in those funds not otherwise being immediately available to you. 

You agree to provide a valid instrument that you are authorized to use for the processing of the payment. You agree to pay the price applicable for your order as of the time you submitted your order, the delivery fees for the shipping service you select and any applicable taxes and fees. We will automatically bill your payment method submitted as part of the order process for such amounts and you hereby authorize us to do so. In addition, you authorize us and our designated payment processor to collect and store your payment instrument along with other related transaction information. 

We reserve the right at any time after receipt of your order to accept, decline or cancel your order (in whole or in part) for any reason, including but not limited to our belief that the transaction violates the Terms or if we believe doing so may prevent financial loss.

Your Account details and associated credentials, User Information, the use of cookies and any other information that you provide to us through this Website or the Services, as well as certain other information about you, is subject to our Privacy Policy. 1. reverse engineering, or attempting to reverse engineer or disassemble any code or software from or on the Website or Services;  
2. violating the security of the Website or Services through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network; or 
3. using the Website or the Services for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails. 

10. INDEMNIFICATION

You will defend, indemnify and hold harmless us and any of our affiliates from and against any and all losses, damages, costs, expenses (including legal fees), claims, complaints, demands, actions, suits, proceedings, obligations and liabilities (including settlement payments) arising from, connected with or relating to your use of this Website, its content or materials, the Services or your negligence, misconduct or breach of the Terms. 12. LIMITATIONS OF LIABILITY

In no event will we be liable to you for any direct, indirect, consequential, incidental, special, compensatory or punitive damages or losses or damages for loss of income, loss of business profits, business interruption, loss of data or business information, loss of or damage to property and claims of third parties or other pecuniary loss, arising out of or related to these Terms, the use of this Website or the Services. 

We may need to interrupt your access to this Website and the Services to perform maintenance or emergency services on a scheduled or unscheduled basis, without prior notice. You agree that your access to this Website and the Services may be affected by unanticipated or unscheduled downtime, for any reason. In no event will we be liable to you direct or indirect damage or loss caused as a result of such downtime. 

The maximum liability of DELIC Labs. arising from your use of the Website is limited to the lesser of one hundred ($100) Canadian Dollars or the amount you paid to us in the last six (6) months. This applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind. 

13. GENERAL

These Terms, the Privacy Policy and all other notices, policies and statements contained on this Website or the Services (all as may be amended by us from time to time without prior notice) constitute the entire agreement between us and you. These Terms cannot be modified except as described herein. No waiver of these Terms will be deemed a further or continuing waiver of such Term or any other Term. If in any jurisdiction, any of these Terms are held to be unenforceable by a court of competent jurisdiction, such Term(s) will be restricted or eliminated to the minimum extent necessary and the remaining Terms will otherwise remain in full force and effect/the prior, effective version of these Terms will be considered enforceable and valid to the fullest extent. The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms. 

These Terms and the subject matter of these Terms and all related matters will be governed by, and construed in accordance with, the laws of the Province of British Columbia, Canada and the laws of Canada applicable in British Columbia, excluding any laws that implement the United Nations Convention on Contracts for the International Sale of Goods or the United States Uniform Commercial Code, and excluding any rules of private international law or the conflict of laws that would lead to the application of any other laws. You submit to the exclusive jurisdiction of the courts of the Province of British Columbia.
